1. About these terms
These Terms of Service form an agreement between Cedar General (“Cedar General,” “we,” “us,” or “our”) and the person or business that buys the service (“you” or “your”). They apply with the order or service confirmation that states your price and start date.
If an order conflicts with these terms, the order controls for that conflict. Rights that cannot be waived under applicable law continue to apply.
2. The managed website service
The standard plan includes:
- A website built and managed by Cedar General.
- Website hosting on Cloudflare.
- Routine website edits through the Cedar General agent, subject to fair use.
- Ongoing work to improve relevance across search, maps, listings, and AI answers.
- Business-listing setup during onboarding for suitable services such as Google, Bing, Apple, and Yelp.
- A monthly email report.
Business email service is not included. We can suggest a third-party email provider.
3. Price and billing
The standard service is $199 CAD per month, plus applicable taxes. There is no build fee. Billing recurs monthly in advance using the payment method stated during onboarding.
If your order identifies you as a founding client, your $199 monthly rate stays fixed while your subscription remains continuous. This rate protection does not cover taxes, domain fees, approved custom work, or third-party charges.
A new domain that we register and manage costs $10 CAD per month. Connecting a domain you already own has no extra monthly fee.
Fees are not refundable after a billing period starts, except where required by law or where your order says otherwise.
4. Routine edits and fair use
You can make unlimited reasonable requests for routine website edits. Routine edits include changes to text, hours, offers, photos, service details, and similar page content that the agent can safely complete.
“Unlimited” does not include bulk requests, automated requests, unlawful activity, attempts to bypass safeguards, or use that harms the service for others. We may queue or throttle abusive use. We will contact you before restricting ordinary good-faith use.
Routine agent-supported changes can often go live in seconds. This is a normal operating target, not a guaranteed response time or service-level agreement. A request can take longer if it needs clarification, review, new assets, or human work.
5. Work beyond the agent
Work that needs a person is billed at $150 CAD per hour with a one-hour minimum. We will explain the work and provide an estimate before it starts. You must approve the estimate. Approved charges appear on the next invoice unless we agree otherwise.
6. Your responsibilities
You agree to:
- Give us accurate business, contact, service, pricing, and location information.
- Review important claims before publication, including regulated, health, safety, financial, and legal claims.
- Have the rights needed for every logo, photo, video, trademark, testimonial, and other item you provide.
- Keep access to your domain registrar and third-party business listings secure.
- Pay approved fees when due.
- Use the service lawfully and avoid misleading, harmful, infringing, or abusive content.
7. Domains, content, and platform ownership
Your property
You keep ownership of your domain and the materials you provide. After you pay all related fees, you also own the text and original media we create specifically for your business, unless an order states otherwise.
Our property
Cedar General keeps ownership of its software, hosting setup, agent workflows, reusable components, templates, design systems, tools, processes, and general knowledge. Your plan gives you the right to use these parts only through the active service.
Permission to run the site
You give us a non-exclusive licence to host, copy, adapt, and display your materials only as needed to build, run, improve, and support your website.
Exports
During the service, or within 30 days after it ends, you can ask for a reasonable export of your original materials and client-owned text or media. The export does not include Cedar General’s platform, source code, templates, tools, or reusable design system.
8. Search, maps, listings, and AI answers
We work to improve how relevant and clear your business appears across search engines, map services, listings, and AI tools. These services use systems that we do not control. We do not guarantee a ranking, placement, amount of traffic, lead volume, or revenue.
Third-party services can reject, suspend, change, or remove a listing. You remain responsible for following their rules and verifying important business information.
9. Availability and changes
We aim to keep websites available and secure. Maintenance, service failures, internet conditions, attacks, and third-party outages can cause interruption. We may change the service when needed for security, reliability, law, or product improvement. We will avoid materially reducing the paid service without notice.
10. Month-to-month cancellation
The service runs month to month. You can cancel by sending written notice to hello@cedargeneral.com. Cancellation takes effect at the end of the current paid billing period unless the law or your order requires a different date.
Your website stays available until that date. We can then take it offline and delete hosted copies after the 30-day export period. You keep your domain. You remain responsible for unpaid fees and approved work completed before cancellation.
We may suspend or end the service for non-payment, unlawful use, security risk, abuse, or a serious breach of these terms. When practical, we will give you notice and a chance to fix the problem.
11. Privacy
Our Privacy Policy explains how we collect, use, store, and disclose personal information.
12. Disclaimers
We provide the service with reasonable care and skill. Except for rights and warranties that law does not let us exclude, the service is provided “as is” and “as available.” We do not promise that it will be uninterrupted, error-free, or suitable for every regulated purpose.
13. Limits on liability
To the maximum extent permitted by law, Cedar General is not liable for indirect, special, incidental, punitive, or consequential loss. This includes lost profits, lost revenue, lost business, loss of data, or reputational harm.
To the maximum extent permitted by law, Cedar General’s total liability related to the service is limited to the service fees you paid during the three months before the event that caused the claim. This limit does not apply where the law does not permit it.
14. Claims caused by your materials or conduct
You will protect Cedar General from third-party claims, losses, and reasonable costs caused by materials you provide, your unlawful use, or your breach of section 6. This duty does not apply to the extent that Cedar General caused the claim through its own breach or misconduct.
15. Changes to these terms
We can update these terms for future customers at any time. For active customers, we will give reasonable notice before a material change takes effect. A change to the standard list price does not override a founding-client rate stated in your order.
16. General terms
These terms and your order are the complete agreement for the service. You cannot transfer the agreement without our written consent. We can use qualified service providers to deliver the service and remain responsible for our obligations.
If one part of the agreement is unenforceable, the rest continues. A delay in enforcing a right does not waive that right.
Ontario law and the federal laws of Canada that apply in Ontario govern the agreement. The courts in Toronto, Ontario have exclusive jurisdiction, unless applicable law requires another forum.
